WHEREAS, the City of Manassas Park, Virginia (the “City”), previously has entered into an Agreement of Purchase and Sale dated October 22, 2005, as amended on December 30, 2005, June 5, 2006, and September 13, 2006 (the “Sale Agreement”), with CRC Manassas Park LLC (the “Developer”), pursuant to which the City has agreed to sell, and the Developer has agreed to purchase, certain real property consisting of approximately 32.3 acres located adjacent to the intersection of Manassas Drive and Park Center Court and near the Virginia Railway Express station in Manassas Park, such property being owned in fee simple by the City (the “City Property”); and
