This confirmation letter ("Confirmation") confirms the transaction (“Transaction”) between San Diego Gas & Electric Company ("Seller” or “SDG&E” “Party B”) and ______________ (“Buyer” or “Party A”), each individually a "Party" and together the "Parties", effective as of ____________, 2018 (the "Confirmation Effective Date"). This Transaction is governed by the WSPP Agreement effective as of June 21, 2018 (the “Master Agreement”), along with any amendments and annexes executed between the Parties thereto (the "Master Agreement”). The Master Agreement and this Confirmation shall be collectively referred to herein as the “Agreement.” Capitalized terms used but not otherwise defined in this Confirmation have the meanings ascribed to them in the Master Agreement, Tariff or RPS (as defined below). If any term in this Confirmation conflicts with the Master Agreement, the definitions set forth in this Confirmation shall supersede.
