This Agreement (“Agreement”) shall be deemed effective as of March 19, 2002 (the “Effective Date”), between Prepaid Telecom, Inc. (“Prepaid”), a corporation organized under the laws of the State of Delaware, with offices at 3955 Pleasantdale Road, Suite 105, Atlanta, Georgia 30340 and Verizon South, Inc., f/k/a GTE South Incorporated (“Verizon”), a corporation organized under the laws of the Commonwealth of Virginia with offices at 4100 Roxboro Rd., Durham, NC 27704- 2166 (Verizon and Prepaid may be referred to hereinafter, each, individually as a “Party”, and, collectively, as the “Parties”).
