Broker-Dealer Agreement dated as of , 2007, is between The Bank of New York, a New York banking corporation (the “Auction Agent”) (not in its individual capacity, but solely as agent of the registered investment companies, which are Maryland corporations, listed in Exhibit A-1 hereto, as the same may be amended from time to time (individually, a “Fund”, and together, the “Funds,” unless indicated otherwise), pursuant to authority granted to it in the various Auction Agency Agreements between each of the Funds and the Auction Agent (the “Auction Agency Agreements”) and (together with its successors and assigns, “BD”).
