This Agreement amends and restates, in its entirety, the Amended and Restated Subscription Agreement, dated as of March 11, 2022 (the “First A&R Agreement”), which amended and restated, in its entirety, the Subscription Agreement, dated as of December 13, 2021 (the “Effective Date”), by and between the Company and the Subscriber (the “Original Agreement”).

This Agreement amends and restates, in its entirety, the Amended and Restated Subscription Agreement, dated as of March 11, 2022 (the “First A&R Agreement”), which amended and restated, in its entirety, the Subscription Agreement, dated as of December 13, 2021 (the “Effective Date”), by and between the Company and the Subscriber (the “Original Agreement”).
