This Intellectual Property License Agreement (“Agreement”), consisting of 46 pages, is dated as of the 19th day of September, 2009, by and among WYNN RESORTS HOLDINGS, LLC, a Nevada Limited Liability Company (hereinafter “Holdings”), WYNN RESORTS, LIMITED, a Nevada corporation (hereinafter “Limited”) and WYNN MACAU, LIMITED, an exempt company with limited liability under the laws of the Cayman Islands (hereinafter “Licensee”). Holdings and Limited are collectively referred to herein as “Licensor”.

This Amended and Restated Intellectual Property License Agreement (“Agreement”), consisting of 46 pages, is dated as of the 19th day of September, 2009, by and among WYNN RESORTS HOLDINGS, LLC, a Nevada Limited Liability Company (hereinafter “Holdings”), WYNN RESORTS, LIMITED, a Nevada corporation (hereinafter “Limited”) and WYNN RESORTS (MACAU), S.A., a company organized and existing under the laws of Macau Special Administrative Region of the Peoples Republic of China (hereinafter “Licensee”). Holdings and Limited are collectively referred to herein as “Licensor”.
