CA Citizen Protection Group, LLC (“CCPG”) and Green Initiative LLC (“GIL”, and together with CCPG, collectively, the “Claimants”), on the one hand, and Steven Madden, Ltd., owner of the Betsey Johnson brand (“SML”), on the other hand, enter into this Settlement Agreement and Release (this “Agreement”). This Agreement is effective on the date on which it is fully executed by all Parties (“Effective Date”). Claimants and SML are referred to individually as a “Party” and collectively as the “Parties.” The Parties agree as follows:
