THESE TERMS AND CONDITIONS FOR PURCHASE OF GOODS (“Terms”) govern the purchase and sale of Goods (as hereinafter defined) between Chromatic Oil Tools, LLC, a Delaware limited liability company, as buyer (“Buyer”), and the seller or vendor entity, as vendor (“Vendor”), shown on the Order (as defined in Annex I). Buyer and Vendor are referred to herein individually as a “Party” and collectively as the “Parties.” Capitalized terms used herein and not otherwise defined shall have the meanings assigned to them in Annex I attached hereto and made a part hereof.
