Scully, as trustee of the Scully and Sons Living Trust dated February 9, 2004, 504 N. Leroux, Flagstaff, Arizona 86001, (“Seller”) and the City of Flagstaff, a municipal corporation, 211 W. Aspen Ave., Flagstaff, Arizona 86001, (“Buyer”). The Seller and Buyer may be referred to individually as a “Party” or collectively as “Parties.”
