This Credit Agreement (“Agreement”) dated as of [ ], 2024, by and among Axis Insurance Managers Inc., a corporation amalgamated under the British Columbia Corporations Act (“Axis”), together with each other Subsidiary of Axis who becomes a borrower hereunder by execution of a joinder in the form of Exhibit I attached hereto or a similar acknowledgment acceptable to Agent, are sometimes hereinafter referred to individually as a “Borrower” and collectively as the “Borrowers”), Axis, as Borrower Representative, the financial institutions party hereto from time to time (the “Lenders”), and Bank of Montreal (in its individual capacity, “BMO”), as Agent for all of the Lenders.
