This Nondisclosure Agreement (this “Agreement”), is made as of the later of the dates indicated beneath the signatures of the parties below, by and between Enron North America Corp. Incorporated, a Delaware corporation (“Enron”), and Eastman Chemical Company, a Delaware corporation (“Eastman;” Eastman and Enron being individually referred to herein as a “Party” and collectively as the “Parties”).
