Indemnity by UNIVERSITY: In the event any infringement action is brought by a third party against LICENSEE, or LICENSEE's Affiliates, licensees or distributors, on account of the manufacture, use or sale of the Licensed Products in the Territory, LICENSEE shall promptly notify UNIVERSITY of such action. UNIVERSITY shall have the right to manage the defense against any such action, in its own name and/or in the name of LICENSEE if necessary. If UNIVERSITY elects to exercise such right, (i) LICENSEE shall, at UNIVERSITY's request, take all appropriate or necessary actions to assist in the defense of such action (ii) UNIVERSITY shall bear the internal legal and other costs incurred in taking such actions, and (iii) UNIVERSITY shall bear its own internal and external legal and other costs and expenses (including without limitation the costs associated with management of the defense of the action), together with all other costs and expenses associated with the action (including without limi
