SECOND SUPPLEMENTAL INDENTURE (this “Supplemental Indenture”), dated as of July 9, 2018, among Shelf Drilling Holdings, Ltd., a Cayman Islands exempted company (the “Issuer”), Shelf Drilling (Far East) Operations, Ltd., a Cayman Islands exempted company, Shelf Drilling (Southeast Asia) Limited, a Hong Kong private company limited by shares, Shelf Drilling Asset I, Ltd., a Cayman Islands exempted company, Shelf Drilling Asset II, Ltd., a Cayman Islands exempted company, Shelf Drilling Management Services DMCC, a Dubai Multi Commodities Centre company, Shelf Drilling TBN I, Ltd., a Mauritius private company limited by shares, and Shelf Drilling TBN II, Ltd., a Mauritius private company limited by shares, each a subsidiary of the Issuer (the “Guaranteeing Subsidiaries”), and Wilmington Trust, National Association, as trustee (in such capacity, the “Trustee”) under the Indenture referred to below.
