THIS PURCHASE AND SALE AGREEMENT (this “Agreement”) is made as of November 4, 2013 (the “Execution Date”) between SM ENERGY COMPANY, a Delaware corporation (“SM Energy”) and ENERVEST ENERGY INSTITUTIONAL FUND XIII-A, L.P., ENERVEST ENERGY INSTITUTIONAL FUND XIII-WIB, L.P., and ENERVEST ENERGY INSTITUTIONAL FUND XIII-WIC, L.P., each a Delaware limited partnership, (collectively, “Buyer”).
