Sterilogy, LLC, a Michigan limited liability company (the "Company") is entered into by and among the Persons listed on Exhibit A attached hereto and made a part hereof and shall be effective as of June 30, 2009. The Members hereby agree to operate the Company as a Michigan limited liability company, to be governed by the provisions of Michigan Limited Liability Act, Public Act 23 of 1993, as the same may be amended from time to time (the "Act"), and to follow the terms and conditions hereinafter set forth.
