THIS AGREEMENT is by and between BellSouth Telecommunications, Inc., (“BellSouth” or “Company”), a Georgia corporation, and Quick-Tel Communications, Inc., Inc. (“Quick-Tel”), a Texas corporation, and shall be deemed effective as of February 3, 1998.
