THIS CONTRACT MANUFACTURING AGREEMENT (the “Agreement”) is made this 1st.day of November, 2005 (the “Agreement Date”), by and between JDS Pharmaceuticals, LLC. JDS is engaged in the business of, among other things, marketing and distributing certain pharmaceutical products. B. NPI is in the business of contract manufacturing and packaging pharmaceutical products, and providing related services. C. JDS has agreed to purchase from NPI, and NPI has agreed to provide to JDS, certain manufacturing and quality assurance services relating to certain of JDS’s products, on the terms and conditions set forth herein.
