This Agreement of Limited Partnership (this “Agreement”) is made and entered into as of February 24, 2005, between Cowtown Pipeline Management, Inc., a Texas corporation, as general partner (the “General Partner”), and Cowtown Pipeline Funding, Inc., a Delaware corporation, as the initial limited partner (the “Limited Partner”). The General Partner and the Limited Partner are sometimes collectively referred to as the “Partners” and individually as a “Partner”.

This Amended and Restated Agreement of Limited Partnership (this “Agreement”) is made and entered into as of March 8, 2005, between Cowtown Pipeline Management, Inc., a Texas corporation, as general partner (the “General Partner”), and Cowtown Pipeline Funding, Inc., a Delaware corporation, as the initial limited partner (the “Limited Partner”). The General Partner and the Limited Partner are sometimes collectively referred to as the “Partners” and individually as a “Partner.” This Agreement amends and restates the original Agreement of Limited Partnership of Cowtown Pipeline L.P. entered into on July 28, 2004 (the “Original Agreement”).
