Maker (hereinafter defined) and Payee (hereinafter defined) are parties to that certain Loan Agreement dated as of the date hereof (the "Loan Agreement") relating to a secured mortgage loan in the original principal amount of $285,000,000.00 (the "Loan"). The Loan is collectively evidenced by this Promissory Note A-1 in the original principal amount of $200,000,000.00 and that certain Promissory Note A-2 dated as of the date hereof in the original principal amount of $85,000,000.00 made by Maker and payable to Payee.
