This Agreement (“Agreement”) shall be deemed effective as of August 22, 2001 (the “Effective Date”), between Access Point, Inc. (“Access Point”), a corporation organized under the laws of the State of North Carolina, with offices at 1100 Crescent Green, Suite 109, Cary, North Carolina 27511 and Verizon New England Inc., d/b/a Verizon Rhode Island, f/k/a New England Telephone and Telegraph Company, d/b/a Bell Atlantic - Rhode Island (“Verizon”), a corporation organized under the laws of the State of New York with offices at 185 Franklin Street, Boston, MA 02110 (Verizon and Access Point may be referred to hereinafter, each, individually as a “Party”, and, collectively, as the “Parties”).
