The undersigned, Stone & Youngberg LLP (the “Underwriter”), offers to enter into this purchase agreement (this “Purchase Agreement”) with the Goleta Financing Authority (the “Authority”) and the Redevelopment Agency For the City of Goleta (the “Agency”) which will be binding upon the Authority, the Agency and the Underwriter upon the acceptance hereof by the Authority and the Agency. This offer is made subject to its acceptance by the Authority and the Agency by execution of this Purchase Agreement and its delivery to the Underwriter on or before 5:00 p.m., California time, on the date hereof. All terms used herein and not otherwise defined shall have the respective meanings given to such terms in the Indenture (as hereinafter defined).
