This SECOND AMENDMENT TO CREDIT AGREEMENT, dated as of April 14, 2023 (this “Amendment”), is entered into by and among the Lenders (as defined below) party hereto, WILMINGTON TRUST, NATIONAL ASSOCIATION (“Wilmington Trust”) as administrative agent (in such capacity, “Administrative Agent”) and as collateral agent (in such capacity, “Collateral Agent”), CROSS COUNTRY HEALTHCARE, INC., a Delaware corporation (“Borrower”), and the Guarantors party hereto (each, a “Guarantor” and individually and collectively, jointly and severally, the “Guarantors”).
