This Contract is subject to a financial assistance contract between RABA and the United States of America (hereinafter "Federal Government"), acting through the Department of Transportation (hereinafter "U.S. DOT"), and Federal Transit Administration (hereinafter "FTA"). Contractor shall at all times comply with all applicable FTA regulations, policies, procedures and directives including without limitation those listed directly or by reference in the FTA Master Agreement between RABA and FTA, as amended, and are incorporated herein by this reference. Contractor shall comply with these FTA requirements and as theymay be amended or promulgated from time to time during the term of this Contract. The Contractor shall not perform any act, fail to perform any act, or refuse to comply with any RABA directives, which would cause RABA to be in violation of FTA requirements. Contractor's failure to comply with these FTA requirements and RABA directives shall constitute a material breach of this
