This Electric Energy Services and Sales Agreement ("Agreement"), is entered into as of this ____ day of _________, 2001 (the "Effective Date"), by and between ENRON ENERGY SERVICES, INC., a Delaware corporation ("EESI"), and THE CITY OF CHICAGO, a municipal corporation and home rule unit of local government existing under the constitution of the State of Illinois ("Customer"). EESI and Customer are also referred to herein individually as a "Party" and collectively as the "Parties." Capitalized terms used herein but not defined are defined on Exhibit A.
