This letter (the “Agreement”) constitutes the agreement between, EF Hutton, division of Benchmark Investments, LLC (“EF Hutton”, or the “Placement Agent”) and Golden Matrix Group, Inc., a company incorporated under the laws of the Nevada (the “Company”), pursuant to which the Placement Agent shall serve as the exclusive placement agent for the Company, on a “reasonable best efforts” basis, in connection with the proposed placement (the “Placement”) of equity and/or equity derivatives (the “Shares” or the “Securities”) of the Company, par value $0.00001 per share (“Common Stock”).
