This Amendment No. 1 (the “Amendment”) is made by and between Verizon New England Inc., d/b/a Verizon Massachusetts (“Verizon”), a New York corporation with offices at 185 Franklin Street, Boston, MA 02110, and Digizip.com Inc., a corporation with offices at 168 Irving Ave., #302, Port Chester, NY 10573 (“Digizip.com Inc.”), and shall be deemed effective on December 15, 2005 and in no event later than the date on which the Agreement (as defined below) takes effect (the “Amendment Effective Date”). Verizon and Digizip.com Inc. are hereinafter referred to collectively as the “Parties” and individually as a "Party". This Amendment covers services in Verizon’s service territory in the Commonwealth of Massachusetts (the “Commonwealth”).
