This Letter of Intent (this "LOI") is entered into as of date of the last signature hereto (the "Acceptance Date") by and among Milwaukee County, a Wisconsin municipal corporation, as represented by its Mental Health Board ("MHB"), Department of Health and Human Services, and DHHS-Behavioral Health Division ("BHD") (collectively, "County") and Advocate Aurora Health, Inc. or one of its affiliates ("AAH"), Columbia St. Mary's, Inc.
