The undersigned, Oppenheimer & Co. Inc. (the “Underwriter”), hereby offers to enter into this Bond Purchase Agreement (the “Bond Purchase Agreement”) with the Coalinga Public Financing Authority (the “Authority”) and the City of Coalinga (the “City”), which, upon the Authority’s and City’s acceptance hereof, will be binding upon the Authority, the City and the Underwriter. This offer is made subject to written acceptance by the Authority and the City and the delivery of such acceptance to the Underwriter at or prior to 9:00 P.M., California time, on the date hereof. If this offer is not so accepted, this offer will be subject to withdrawal by the Underwriter upon notice delivered to the Authority and the City at any time prior to acceptance by the Authority and the City. All capitalized terms used herein and not otherwise defined herein shall have the respective meanings ascribed thereto in the Official Statement (as defined herein).
