THIS BASE LEASE AGREEMENT dated as of August 1, 2023 (this “Base Lease”), among BLUHAWK HOLDINGS, INC., a Kansas corporation (“Bluhawk Holdings”), BLUHAWK LAND LLC, a Kansas limited liability company (“Bluhawk Land”), BLUHAWK MARKET PLACE LLC, a Kansas limited liability company (“Bluhawk Market Place”), and BLUHAWK SPORTS PROPERTIES, LLC, a Kansas limited liability company (“Bluhawk Sports Properties”) (Bluhawk Holdings, Bluhawk Land, Bluhawk Market Place and Bluhawk Sports are herein, individually and collectively, as the context requires, the “Company”), as lessor, and the CITY OF OVERLAND PARK, KANSAS, a political subdivision duly organized and existing under the laws of the State of Kansas (the “Issuer” or the “City”), as lessee.
