THIS AGREEMENT FOR PURCHASE AND SALE (the “Agreement” or “Contract”) is made and entered into this day of November, 2012 (the “Effective Date”), by and between the CITY OF NAPLES, a municipal corporation (“Seller”), and THE MOORINGS, INCORPORATED, a Florida not-for-profit corporation (“Buyer”). In consideration of the mutual covenants and agreements hereinafter set forth, and for other good and valuable considerations, the receipt and sufficiency of which are hereby mutually acknowledged, Seller and Buyer agree as follows:
