THIS NOTE is one of a duly authorized issue of Notes of MAGELLAN GOLD CORPORATION, a Nevada corporation, (the “Company” or “Maker”), designated as its 6% Convertible Notes (the “Notes”) due on five (5) days’ written demand by Holder (the “Maturity Date”), in an aggregate principal amount of $51,531.88 plus accrued and unpaid interest. The principal amount of this Note shall automatically increase or decrease, as the case may be, based upon the outstanding and unpaid balance of fees and expenses owed by Maker to Holder for professional services rendered by Holder for Maker.
