This Amendment to Purchase and Sale Agreement and Escrow Instructions (the “Amendment”) is entered into effective as of June 21, 2011, by and between Estrella Ginning Company, Inc., an Arizona corporation (“Estrella” and/or “Seller”), and The City of Maricopa, an Arizona municipal corporation (“City” and/or “Buyer”). Estrella and the City are also referred to from time to time herein, individually, as a “party” and, collectively, as the “parties.”
