This California Competes Tax Credit Allocation Agreement (“Agreement”) is by and between Kinkisharyo (USA), Inc., a Delaware corporation (“Credit Recipient”), Kinkisharyo International, LLC, a Delaware limited liability company, Altech Services, Inc. doing business as California Transportation Field Services, a New York corporation and the California Governor’s Office of Business and Economic Development (“GO-Biz”), hereinafter jointly referred to as the “Parties” or individually as the “Party.” Kinkisharyo (USA), Inc. (“KUSA”), Kinkisharyo International, LLC (“KLLC”) and Altech Services, Inc. (“Altech”) shall collectively be referred to as the Taxpayer. KLLC is a wholly-owned subsidiary of KUSA and is considered a disregarded entity for tax filing purposes.
