THIS PURCHASE AND SALE AGREEMENT (this “Agreement”) is made and entered into as of this 6th day of September, 2006 (the “Effective Date”), by and among JER O’Hare Hotel, LLC, a Delaware limited liability company (“Seller”), and Ashford Hospitality Limited Partnership, a Delaware limited partnership (“Purchaser”). The Seller and Purchaser are sometimes referred to herein individually as a “Party”, and collectively as the “Parties”.
