Gold (“Executive”) and Bergdorf Goodman, Inc., a New York corporation (“Bergdorf’) and a wholly-owned subsidiary of The Neiman Marcus Group, Inc., a Delaware corporation (“NMG”). All capitalized terms used but not defined herein shall have the meanings assigned to them in Appendix A, which is attached hereto and incorporated fully herein by reference.
