The Certificates are being executed and delivered pursuant to a Trust Agreement, dated as of April 1, 2014 (the “Trust Agreement”), among the County, the Napa County Public Improvement Corporation (the “Corporation”) and U.S. Bank National Association, as trustee (the “Trustee”). All terms used herein and not otherwise defined herein shall have the respective meanings assigned thereto in the Trust Agreement.
