THIS ASSET PURCHASE AGREEMENT (this ³Agreement´), dated as of February 6, 2009 (the ³Effective Date´), by and among Valero Renewable Fuels Company, LLC, a Texas limited liability company (³Buyer´), Valero Energy Corporation, a Delaware corporation (³Parent´), VeraSun Energy Corporation, a South Dakota corporation (the ³Company´), and the Additional Sellers (together with the Company, collectively, ³Sellers´). Capitalized terms used herein and not otherwise defined herein have the meanings set forth in Article 1.
