We look forward to providing you with “The Compliance Engine” (the “Solution”). This proposal letter constitutes a binding agreement (“Agreement”) between the parties and provides the basic terms by which Brycer, LLC (“Brycer”) will provide you, Village of Westmont (“Client”), for the use by its Fire Department, with the Solution. The use of the Solution and all matters between Brycer and Client will be subject to the standard “Terms and Conditions” attached to this proposal as Exhibit A. The basic terms are as follows:
