Morgan Investment Management Inc. (the “Advisers”, and the Trust’s administrator, JPMorgan Funds Management, Inc. (the “Administrator”) (collectively, the “Parties”). Capitalized terms not otherwise defined herein shall have the meaning ascribed to them in the Agreement (defined below).
