On the basis of the representations, and covenants and upon the terms and conditions contained in this Bond Purchase Agreement, Heartland Pet Foods Manufacturing, Inc., a Delaware corporation (the “Purchaser”), offers to purchase from the City of Joplin, Missouri (the “City”), the above-referenced series of Taxable Industrial Development Revenue Bonds (the “Bonds”), to be issued by the City, under and pursuant to Ordinance No. passed by the governing body of the City on August 15, 2016 (the “Ordinance”) and a Trust Indenture dated as of August 1, 2016 (the “Indenture”), by and between the City and UMB Bank, N.A., St. Louis, Missouri, as trustee (the “Trustee”). Capitalized terms not otherwise defined herein shall have the meanings set forth in Section 101 of the Indenture.
