THIS AMENDED AND RESTATED ADVISORY AGREEMENT (this “Agreement”), dated as of November 14, 2008 and effective as of October 24, 2008 (the “Effective Date”), is by and among GRUBB & ELLIS HEALTHCARE REIT, INC., a Maryland corporation (the “Company”), GRUBB & ELLIS HEALTHCARE REIT HOLDINGS, LP, a Delaware limited partnership (the “Partnership”), GRUBB & ELLIS HEALTHCARE REIT ADVISOR, LLC, a Delaware limited liability company (the “Advisor”) and, solely for purposes of Sections 17 and 37 of this Agreement, GRUBB & ELLIS REALTY INVESTORS, LLC, a Virginia limited liability company (“GERI”) and amends, restates, and supersedes in its entirety that certain Advisory Agreement dated September 20, 2006, as amended by a First Amendment to Advisory Agreement dated November 16, 2006 (collectively, the “Original Advisory Agreement”) executed by the Company, Partnership, Advisor and GERI.
