THIS PLEDGE AGREEMENT (as amended, modified, supplemented, restated or replaced from time to time, this "Pledge Agreement"), dated as of October 24, 2016, made by DME CANADA ACQUISITIONS INC., a corporation existing under the laws of the Province of British Columbia (together with any successor(s), by amalgamation or otherwise, and permitted assigns, the "Pledgor"), in favour of ROYAL BANK OF CANADA, as administrative agent under the Credit Agreement (as defined below) (together with any successor(s) thereto in such capacity, the "Agent") for the Lender Parties (as defined below).
