THIS ESCROW AGREEMENT (the "Escrow Agreement") is made and entered into effective as of the "Effective Date" as set forth on the signature page hereof, by and between the COUNTY OF DANE, WISCONSIN, a Wisconsin quasi-municipal corporation ("Depositor"); GL DAIRY BIOGAS, LLC, a Wisconsin limited liability company ("Recipient"); and U.S. BANK NATIONAL ASSOCIATION, a national banking association, as Escrow Agent hereunder ("Escrow Agent").
