The purpose of this letter ("Confirmation Letter") is to confirm the terms and conditions of the transaction ("Transaction") between Brick Township Board of Education (“Seller" or “Brick Township Board of Education”) and ("Buyer" or “Viridian Energy PA LLC”) as of the Effective Date. Seller and Buyer are each referred to as a "Party" and, collectively, as the "Parties." This shall constitute the entire agreement ("Agreement") between the Parties related to the subject matter hereof and supersedes and replaces any prior oral or written confirmation, including broker confirmations, regarding this Transaction.
