Cantor Fitzgerald Canada Corporation and Cormark Securities Inc. (collectively, the “Co-Lead Agents”), and Canaccord Genuity Corp. (together with the Co-Lead Agents, the “Agents”) and Heritage Cannabis Holdings Corp. (the “Corporation”) are parties to an agency agreement dated February 25, 2021 (the “Prior Agreement”). The Agents and the Corporation have agreed to amend and restate the Prior Agreement in its entirety, so that the respective duties, rights, and obligations of the parties with respect to each other and to the Offering (as defined herein), shall be governed by this Agreement (as defined herein).
