These General Terms of Purchase shall constitute the only agreement applicable to SCHAFFNER’s purchases and expressly exclude the application of the supplier’s general terms of sale as well as any document issued by it in relation to SCHAFFNER’s order. They are applicable to all SCHAFFNER’s purchases, whether it be tooling, machines, parts, raw material or other various goods including services (hereafter individually or collectively called the “Supply”). These General Terms of Purchase may only be modified by a written provision signed by the Purchasing Department of SCHAFFNER.
