AGREEMENT (this “Agreement”) is dated as of January 13, 2021 (the “Effective Date”) by and between Peralta Commu- nity College, a California Community College District (“Customer”) and INGENESIS, INC., a Texas corpora- tion (“Supplier”), each having a busi- ness address set forth on the signature page. Each of Customer and Supplier is sometimes hereinafter referred to as a “Party” or collectively, the “Parties.” In consideration of Supplier’s engagement under this Agreement, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree to the following terms and conditions:
