Reference is made to the Hong Kong Public Offering of Hong Kong Offer Shares by the Company. In connection with the Hong Kong Public Offering, the Hong Kong Underwriters hereby agree to adopt and be bound by the terms and conditions of the ASIFMA Agreement Among Hong Kong Underwriters (Hong Kong IPO Version), Version 1.0, [a copy of which is attached hereto]/[which is available at ASIFMA’s website at www.asifma.org] (the “ASIFMA Agreement Among Hong Kong Underwriters”), as modified by the schedules hereto and any other revisions set forth in this agreement (this “Agreement”).
