Subject to the terms of that certain Liquidating Trust Agreement, by and among FABRICS ESTATE, INC. and each of its debtor subsidiaries, in their capacities as debtors and debtors in possession in their respective chapter 11 estates (collectively, the “Debtors”), and Mr. Eugene I Davis (the “Trust Agreement”), you hereby agree to render services to the Liquidating Trust, as necessary from time to time, which services shall include, performing those duties and responsibilities necessary to fulfill your role as the liquidating trustee (the “Liquidating Trustee”) of the Liquidating Trust and to assist with the winding down of the business of the Debtors in accordance with the Plan (as defined below).
