THIS PURCHASE AND SALE AGREEMENT (as the same may be amended, restated, supplemented or otherwise modified from time to time, this “Agreement”) is entered into the 19th day of July, 2016 (the “Execution Date”) by and among CONSOL OF KENTUCKY INC., a Delaware corporation, ISLAND CREEK COAL COMPANY, a Delaware corporation, LAUREL RUN MINING COMPANY, a Virginia corporation, and CNX LAND LLC, a Delaware limited liability company, each having an address of 1000 CONSOL Energy Drive, Canonsburg, PA 15317 (collectively, “Seller”), and SOUTHEASTERN LAND, LLC, a Kentucky limited liability company, having an address of 81 Enterprise Drive, Debord, KY 41214 (“Buyer”).
